This agreement shall not be construed as a contract of employment and the Consultant is for all purposes of the Agreement deemed to be an independent consultant with no right or claim as to a salaried employed with benefits as stipulated under local Labour Codes.

In consideration of the above rate that shall be paid after delivery, the consultant agrees to participate in documenting the above-mentioned production, the nature and composition of which has been fully explained to consultant. This is to confirm consultant agrees to avail their services to the producer with the terms and conditions set out.

This is a project contract for a fixed short-term duration as stated above.

Consultant agrees to work such hours as are necessary to fulfil all obligations under this agreement.

All tax obligations fall on the consultant and not the producer. Where local Tax Law requires withholding tax to be deducted, VideoPro Film Networks shall comply and deduct the required amount. Should withholding tax be deducted, it is the consultant's obligation to pick up their withholding tax certificate from VideoPro Film Networks.

Producer will not pay any expenses unless prior approved by Producer. This is included in consultant's fee, unless by prior arrangement. Crew will not enter into or authorise any credit orders, purchases or agreement on behalf of the producer without the producer's prior consent and knowledge.

Producer agrees to insure consultant as per the requirements set down by local law for Work Injury Benefits. Producer shall not be liable for any claims arising out of any circumstances apart from those allowed by law and hence in this aspect the Crew should cater for all their medical and other expenses arising during the duration of the project.

Consultant is responsible for his/her own property and making sure of own adequate protection and insurance policies for said property; the producer will not be liable for loss of personal property/equipment.

Consultant agrees to maintain the absolute confidential nature of all matters relating to the production, his/her services and the producers affairs generally including in particular the script/ cast/financing arrangements and technical process involved with the filming.

Consultant acknowledges and agrees that all rights in and to any work performed hereunder shall be freely assignable to any third party by Producer and may be exploited in any and all media whether now known or hereafter created in any manner in perpetuity without any further compensation being due Consultant's.

VideoPro Film Networks may terminate this Contract on the following just causes: Serious misconduct; willful disobedience of employer's lawful orders; habitual neglect of duties; absenteeism; insubordination; when the crew member violates customs, traditions and laws of the operating country and/or terms of this Contract.

VideoPro Film Networks will provide notice to the consultant both verbally on instant dismissal and in writing within 24 hours. The consultant may terminate this Contract by providing notice to VideoPro Film Networks in writing, via fax or Email, 24 hours prior to their final workday.

Producer may use Supplier's name or mark and identify Supplier as a consultant of Producer, on Producer's website and/or marketing materials. Producer may issue a press release, containing Supplier's name, related to any award under this Agreement. Neither party will use the other party's name or marks, refer to or identify the other party for any other reason, except as established in this section, without such other party's written approval. Any approval required under this Section shall not be unreasonably withheld or delayed by either party.

This contract is accepted by all parties as the framework for any decision under this contract. All disputes arising between the organization and the consultant's will be settled under local laws, and for the avoidance of doubt, the parties hereto irrevocably submit themselves to the local jurisdiction.

I. VIDEOPRO FILM NETWORKS STANDARD SET GUIDELINES & REQUESTS

The consultant shall observe VideoPro Film Networks standard Set Guidelines as set forth below:

  • Weather – In instances where the shoot will take place in extreme cold or hot weather conditions, it is the consultant's responsibility to take all necessary steps to ensure that they wear the proper clothing and use sunblock to protect against sunburn and heat exposure. VideoPro Film Networks will NOT be held liable if consultant falls ill due to sunburn or heat exposure or any other weather related illness during the production.
  • Meals – Please notify the production manager before commencing the project if you have a food allergy or sensitivity.
  • Malaria / Regional Health – In instances where the shoot will be in endemic areas, it is consultant's responsibility to take necessary precautions before and during the production at their own expense. VideoPro Film Networks will NOT be held liable if consultant falls ill during and after the production.
  • Communication on Set – Please always have your mobile phone turned to silent or vibrate only. Do not have any ringtone set on your phone at any time as this may interrupt the shoot. Please always make sure your mobile phone is fully charged. If for any reason your phone stops working, you must immediately advise the production office.

II. SET CONDUCT

As a representative of VideoPro Film Networks, it is important to present yourself as a professional at all times. As such, the following “set rules” are required:

  • Filming on Set – ALWAYS BE AWARE of where the camera is located and in what direction the lens is pointed. You do not want to stop a shot because you were not aware of the filming.
  • Time Keeping – PLEASE ARRIVE ON TIME. If you have a genuine emergency, please call the production manager and inform them you will be late.
  • Equipment – CAMERA TECHNICIANS ARE SOLELY RESPONSIBLE for the cleanliness of all the camera equipment, as well as its working order. Please ensure you have all the necessary spares available on location, i.e. battery, cables, fuses, etc.
  • Loss or Damage – ANYONE WHO DAMAGES OR LOSES any item of equipment, whether hired or owned, shall be responsible, and not VideoPro Film Networks, for the insurance excess in the event of the item not being covered for the total value of the damage or loss.
  • Noise – PLEASE KEEP NOISE TO A MINIMUM whether a sound shoot or not.
  • Smoking – NO SMOKING ON SET unless by agreement with the production manager.
  • Trash – NEVER THROW TRASH on the ground no matter how small the piece of trash. Garbage bags will be available on set. The location must be left in a cleaner condition than when the production arrived. Remember that you are setting an example for others around you!
  • NOTE: NO KICKBACKS OR BRIBES OFFERED BY ANYONE TO ANYONE!

III. FLOAT RECON TERMS & CONDITIONS

  • Float will be issued by Accounting to one assigned person per department.
  • You will be held responsible for the float that has been issued to you.
  • In order to avoid confusion, we recommend you keep your float separate from personal money.
  • You are not allowed to pass on float amongst each other.
  • Please use the provided FLOAT REQUEST FORM to ask for money. Requests not using the form will not be processed.
  • Please be aware that we need at least 48 hours to process your float request.
  • You are expected to recon on a weekly basis unless prior agreement.
  • No new float will be issued, unless the current has been recognized for.
  • Fuel, meals and telephone receipts are not accepted unless by prior arrangement.
  • Lost receipts will not be reimbursed. Keep in mind, that receipts have the same worth as cash money!
  • Deposits are not part of your recon. Please get in touch with accounting.
  • Overspends (own money used) on recons will not be reimbursed unless by prior arrangement.
  • The last remuneration due to consultant will only be issued after all float and recon matters have been cleared and balanced.
ONCE THE SHOOT IS WRAPPED, THE CONSULTANT WILL BE EXPECTED TO HAND IN PROJECT RELATED INVOICES TO THE PRODUCTION MANAGER WITHIN 36 HOURS. ANY INVOICES RECEIVED AFTER THE ABOVE STIPULATED TIME SHALL NOT BE HONORED. PLEASE ALSO NOTE THAT NO PAYMENTS WILL BE PAID OUT TO ANY CONSULTANT WHO HAS NOT FILLED IN AND SIGNED A CONTRACT.

THIS DOCUMENT SUPERSEDES ALL OTHERS IN FILE.
